Beneficial Ownership Requirements for South African Companies

In line with the Companies Amendment Regulations introduced by the Companies and Intellectual Property Commission (CIPC), all South African companies are legally required to disclose their beneficial ownership details.

What is required?
Companies must register the details of all individuals who directly or indirectly own or exercise significant control over the company (typically shareholders or ultimate beneficial owners). This is submitted to CIPC and, upon successful registration, a Beneficial Ownership Certificate is issued.

Important Deadline
The final date for compliance was 24 May 2024. Non-compliance may result in administrative penalties imposed by CIPC.

Ongoing Obligations
Any changes in shareholding or beneficial ownership must be reported to us promptly, so we can update the BO register with CIPC accordingly. This ensures your company remains fully compliant with current legislation.
